The Sole Proprietorship (SP) is a private legal entity with unlimited civil liability, the main purpose of which is to make a profit by carrying out activities not prohibited by the laws of the Republic of Lithuania. In order to expand the activities of a private limited company or attract new investments, it can be transformed into a LTD (private limited company) or a SP (small partnership).

The Sole Proprietorship is a legal entity with unlimited civil liability. If the assets of the Sole Proprietorship are not sufficient to fulfil the obligations of the Sole Proprietorship, the owner of the Sole Proprietorship shall be liable for its obligations.

Term:

The SP is established within 3-5 working days.

The establishment through the Internet is carried out by connecting to the self-service system of the State Enterprise Center of Registers. The founder (s) and the owner (s) of the premises must have an electronic certified signature

The procedure of establishing the Sole Proprietorship through the Internet:

1. The reservation of name of the Sole Proprietorship
2. In the self-service system of the State Enterprise Center of Registers, the founding documents of the SP are filled in
3. The self-service system of the State Enterprise Center of Registers obtains the consent of the owner of the premises to provide premises to the headquarters of the Sole Proprietorship. For an additional fee of € 60, we provide a legal entity registration address for an indefinite period
4. The self-service system of the State Enterprise Center of Registers provides an application for the registration of the SP
5. Ordered and manufactured SP stamp (at the customer’s request)

Advantages of establishing an SP in a notary’s office:

• the founder (s) and the owner (s) of the premises are not required to have an electronic certified signature
• The Articles of Association of the SP may set restrictions on the activities of the executive for certain transactions, the procedure for issuing procurations and other additional provisions.

Procedure for establishing the SP in a notary’s office:

1. The name of the SP is reserved.
2. The founding documents of the SP are being prepared
3. The consent of the owner of the premises to provide the premises to the headquarters of the SP is obtained. For an additional fee of € 60, we provide a legal entity registration address for an indefinite period
4. The notary certifies the founding documents of the SP
5. The SP is registered in the SE Center of Registers
6. Ordered and manufactured SP stamp (at the customer’s request)
